1. Definitions

"Service" refers to the consulting, advisory, and related professional services provided by Bridgeworth. "User" or "you" refers to any individual or entity accessing our website or engaging our services. "We," "us," or "our" refers to Bridgeworth, with offices at 6F, No. 180, Zhongxiao West Road, Sec. 1, Zhongzheng District, Taipei 100, Taiwan. "Agreement" refers to these Terms and Conditions together with any supplementary engagement agreements.

2. Acceptance of Terms

By accessing or using our website and services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our website or services. You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services.

3. Description of Services

Bridgeworth provides business consulting and advisory services, including but not limited to talent strategy consultation, pricing architecture advisory, and sustainability integration advisory. Services are delivered based on individually agreed engagement terms, which may include scope, timeline, deliverables, and fees. The availability of specific services may vary and is subject to our capacity and professional judgment.

4. User Responsibilities

When using our website and services, you agree to provide accurate and complete information in all forms and communications, use our website and services only for lawful purposes, refrain from transmitting any harmful, offensive, or infringing material, not attempt to gain unauthorized access to our systems or networks, and respect the intellectual property rights of Bridgeworth and third parties. You are responsible for maintaining the confidentiality of any account credentials or engagement-related access we provide.

5. Intellectual Property

All content on our website — including text, graphics, logos, images, and design elements — is the property of Bridgeworth or its licensors and is protected by applicable intellectual property laws in Taiwan and internationally. You may view and print content for personal, non-commercial use. Reproducing, distributing, modifying, or creating derivative works from our content without prior written consent is prohibited.

Deliverables produced during consulting engagements become the property of the client upon full payment, unless otherwise specified in the engagement agreement. Bridgeworth retains the right to use anonymized methodologies, frameworks, and general knowledge gained during engagements.

6. Payment Terms

Service fees are specified in individual engagement agreements and are denominated in New Taiwan Dollars (NT$) unless otherwise agreed. Payment terms, including schedule and method, are outlined in the relevant engagement agreement. Late payments may be subject to interest charges as specified in the engagement agreement. We reserve the right to suspend services if payment obligations are not met within the agreed timeframe.

7. Confidentiality

Both Bridgeworth and the client agree to maintain the confidentiality of all proprietary information exchanged during consulting engagements. Specific confidentiality obligations are detailed in separate non-disclosure agreements signed before each engagement begins. This obligation survives the termination of any engagement agreement.

8. Disclaimers

Our consulting services are provided on an advisory basis. While we strive for accuracy and thoroughness, we do not warrant that our recommendations will produce specific business outcomes. Our website and content are provided "as is" without warranties of any kind, whether express or implied. Bridgeworth does not provide legal, tax, or accounting advice. Clients should consult qualified professionals for matters requiring licensed expertise.

9. Limitation of Liability

To the fullest extent permitted by Taiwan law, Bridgeworth's total liability arising from or related to these terms or any engagement shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities, regardless of the cause of action.

10. Indemnification

You agree to indemnify and hold Bridgeworth, its directors, employees, and agents harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these terms, misuse of our services, or infringement of any third-party rights.

11. Termination

Either party may terminate a consulting engagement as specified in the relevant engagement agreement. We reserve the right to restrict or terminate access to our website at any time if we believe these terms have been violated. Upon termination, outstanding payment obligations remain in effect, and confidentiality provisions continue to apply.

12. Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of China (Taiwan). In the event of a dispute, both parties agree to first attempt to resolve the matter through informal negotiation within 30 days. If a resolution cannot be reached, disputes shall be submitted to the jurisdiction of the Taipei District Court in Taiwan.

13. General Provisions

These Terms and Conditions, together with our Privacy Policy and any applicable engagement agreements, constitute the entire agreement between you and Bridgeworth. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right. We may assign our rights and obligations under these terms without your consent. You may not assign your rights without our written agreement.

14. Changes to These Terms

We reserve the right to modify these Terms and Conditions at any time. Changes become effective upon posting to our website with an updated effective date. Your continued use of our website or services after changes are posted constitutes your acceptance of the revised terms. We encourage you to review this page periodically.
